GEOGRACE Resources Philippines is a PSE-listed mineral exploration company whose aim is to become the gateway to Philippine mining by positioning itself as the preferred local partner of the international mining industry's investments and operations in the country. RENATO V. PUNO - CHAIRMAN

Atty. Puno has been a practicing lawyer specializing in litigation and corporate law for over 23 years since graduating from the Ateneo Law School. He started his legal practice with the Quasha Law Offices in 1984, and moved on to join his father, Justice Ricardo C. Puno, at the Puno and Puno Law Offices in 1985. Atty. Puno was the Deputy Managing Partner of the Puno offices for 10 years before forming his own law firm, Zulueta, Puno, and Associates (ZPA Law) in 1997. From its inception, he has served as the Managing Partner of ZPA Law and continues to oversee the firm's activities on a daily basis.

MICHAEL T. DEFENSOR - DIRECTOR

Mr. Defensor holds a Masters in Public Administration from the University of the Philippines. He was the youngest elected Councilor of Quezon City at 22 before becoming the youngest elected Representative of the Tenth Congress at the age of 25. He served two terms in the legislature before joining the executive branch. He was Presidential Adviser on Housing and Chairman of the Housing and Urban Development Coordinating Council from 2001 to 2004, before becoming Secretary of the Department of Environment and Natural Resources (DENR) in 2004. As DENR Secretary and Chairman of the Natural Resources Development Corporation and the National Mining Development Corporation from 2004 to 2006, he promoted mining investment and activity in the country. Mr. Defensor afterwards served as the Presidential Chief of Staff from 2006 to 2007. He is also a Director of Petron Corporation and is a consultant and adviser to the Board of Directors of First Metro Investment Corporation. He is also the Chairman of GEO Management which provides management and consulting services to the Company.

JERRY C. ANGPING - PRESIDENT

Mr. Angping, holds a Masters of Business Administration from the Harvard Business School and a Bachelor of Arts (Cum Laude) from the University of the Philippines, where he was also on the faculty of the MBA program. He has served on the boards of numerous listed firms, including Lepanto Consolidated Mining Company from 2004 to 2005, as well as the Philippine Stock Exchange. He is currently a director of Crown Equities, Inc.; vice-chairman of STI Education Inc.; and chairman of Peaksun Enterprises & Export Corporation. From 1989 to 2007, he served as the Chairman and President of Angping & Associates Securities, Inc. He also held the position of director/vice-Chairman in First Metro Investment Corporation from 2002 to 2008.

ARSENIO C. CABRERA - CORPORATE SECRETARY

Atty. Cabrera is a Senior Partner of the Herrera Teehankee & Cabrera Law Offices with more than 20 years of experience in corporate and securities law after graduating from the Ateneo Law School. He is the General Counsel for STI Education Inc. and serves as the Corporate Secretary for the campuses under the STI system. He is also the Corporate Secretary of Calatagan Bay Realty, Inc.; Canlubang Gold and Country Club, Inc.; Lorenzo Shipping Corporation; Villa Development Corporation and WVC Development Corporation.

DELFIN S. CASTRO, JR. - TREASURER

Mr. Castro holds a Masters in Business Administration and Bachelor of Science from the University of the Philippines. He is currently the Treasurer of Peak Condominium Corporation. From June 2000 to April 2001, he was the Global Portfolio Manager for Private Equities at United Resources Asset Management, Inc. He was formelry the Engagement Director of Palo Alto Consultants Asia, Inc. and Senior Assistant Vice President at Asiatrust Bank.

FLORENTINO M. HERRERA III - DIRECTOR

Atty. Herrera III is a Senior Partner of Herrera Teehankee & Cabrera Law Offices and graduated Salutatorian from the University of the Philippines School of Law. Formerly a partner of one of the largest law offices in the Philippines, he organized his own law office in early 1986. Specializing in corporate law, he serves as counsel for various companies engaged in banking, fund management, aviation, agroindustry, publishing and printing, real estate, polyester, telecommunications, media and public relations, insurance, oil exploration, gaming, shipping and financing. He also carries out legal work in such areas as corporate finance, mergers and acquisitions, joint ventures, foreign investment, contract negotiations, intra-corporate disputes, anti-trust litigation, and foundations. He has been a Director of the Company since 1998 and has practiced law for the past 31 years.

DAVID L. KHO - DIRECTOR

Atty. Kho holds a Bachelor of Laws degree from the University of the Philippines. He is the General Manager of the Quezon City Law Network Group, President and Director of Genry Management Services Corporation, and Director of William Realty Corporation. He is also a Director of the Quezon City Chamber of Commerce.

ERIC R. TAGLE - DIRECTOR, Filipino

Mr. Tagle, 54 years old, holds a Bachelor in Arts in Marketing from the University of Santo Tomas. He was formerly a Director and Special Assistant to the President of Apex Mining Co., Inc., Director of the Manila Banking Corporation and Chairman of the Manila Times. At present, Mr. Tagle is the Chairman and President of Milestone Paper Products, Inc. and Gardwell Security Agency, Inc., respectively. He is also the President and director of East Asia Integrated Livestock, Inc. and Southland Properties, Inc. Mr. Tagle is also the President of the Philippine Jockey Club, Inc. He also serves as a director of Mindanao Prime Fruits, Inc. and is a director/Treasurer of La Regalade, Inc.

Mr. Tagle was elected as a Director of the Company on 22 June 2009.

FLORENCIO T. MALLARE - INDEPENDENT DIRECTOR

Mr. Mallare is a respected member of the Filipino-Chinese business community and serves as President of World News Publication Corporation, one of the leading Chinese-language broadsheets in the country. He is also the PResident of New Era Travel & Tours and Director of First Metro Investment Corporation. He has been a Director of the Company since 1998.

ANDRES V. SANCHEZ, Nominee for Director, Filipino

Mr. Sanchez, 64, holds a Bachelor of Science degree in Industrial Engineering from Adamson University. He took post-graduate courses in System Engineering from the Asian Institute of Technology in Thailand. He is currently the President of St. Anne Realty Co., WOW2K Holdings, M2K Music Licensing Co. and President and Chief Executive Officer of G2K Corporation. He also serves as a director of Culinary Best Resources, Creative Restaurant Concepts, Bistro Americano, Bistro Italiano and Striker Mobile. He was elected as Independent Director of NiHAO Mineral Resources International Inc. on 20 March 2009 but has declined re-election to its board of directors.

RODOLFO P. DE GUZMAN, JR., Nominee for Independent Director, Filipino

Atty. De Guzman, 49 years old, holds a Bachelor of Laws degree from the Ateneo de Manila College of Law where he graduated with honors. He obtained a Bachelor of Science in Computer Science from John Carroll University (Ohio, USA) and a BSC in Accounting from De La Salle University. He is currently a Partner at Perlas, De Guzman and Asuncion Law Firm. He is a director of PRA Marketing Corporation, Inc., SDR Consultancy, Inc., ARL Business Consultancy, Balintawak Cloverleaf Market Corporation, Gubat Sa Siudad, Inc., RNCD Development Corporation and Kinderhaus Learning Center. He is a director and Corporate Secretary of 360 Media, Inc. and Binondo Leisure Resources, Inc. He also serves as the Corporate Secretary of Beau Geste Enterprises, Inc., Connect 88, Inc., Surya Imports, Inc., Philippine Flag Football League, Mary Mother of the Poor (Philippines) Foundation, Inc. and Oriental Capital Ventures, Inc. Atty. De Guzman also acts as consultant for Batangas Agri-Business Center, First Cagayan Leisure and Resorts Corporation, AB Gaming Leisure and Specialist, Inc., Pacific Palm Corporation and United AOE Group, Inc.
